1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the BidBoard mobile app, website, and related services (the "Service"). The Service is operated by Shortcut Ventures Pte. Ltd., a company incorporated in Singapore ("BidBoard", "we", "us", "our").

By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. What BidBoard is — and isn't

BidBoard is a marketplace that connects people who need private transport jobs performed ("callers") with licensed private transport drivers in Singapore ("drivers"). Every account can act in either role.

BidBoard is not a transport operator, employer, or chauffeur service. We do not own vehicles, employ drivers, dispatch trips, or set fares. Drivers are independent contractors who decide which jobs to bid on, and callers decide which bid to accept. The contract for any actual transport service is between the driver and the caller — not with BidBoard.

3. Eligibility and account

  • You must be at least 18 years old and legally able to enter into binding contracts in Singapore.
  • To drive on BidBoard you must hold a valid Singapore PDVL or BDVL (as applicable to the vehicle class) and be permitted by the relevant authority to provide private transport services.
  • You must keep your account credentials confidential. You are responsible for everything that happens under your account.
  • One natural person, one account. Accounts are not transferable.

4. Identity verification

You authorise us to verify your identity, residency, and licence status through Singpass MyInfo and through additional checks we consider appropriate. You agree that the information you provide (directly or via MyInfo) is true, current, and complete, and that you will update it promptly if it changes.

5. Posting and bidding on jobs

  • Callers post jobs with a fare, vehicle requirement, pick-up and drop-off, and timing. The fare you post is the gross amount you commit to pay if a driver is confirmed.
  • Drivers may bid on any job their licence and vehicle qualify for. A bid is a binding offer to perform the job at the posted fare.
  • A job is "confirmed" the moment a caller accepts a bid. Once confirmed, both sides are committed to the job under these Terms.
  • You may not post fake or duplicate jobs, bid on your own jobs, or attempt to contact the other party outside the Service to circumvent it.

6. Performing a job

  • Drivers must arrive in the vehicle and class disclosed on their profile, hold all required licences and insurance, and comply with all applicable Singapore traffic and transport laws.
  • Drivers must use the in-app status controls ("On the way", "Arrived", "Complete") to keep the caller informed.
  • Callers must be ready at the pick-up point at the agreed time and provide accurate passenger and luggage information when posting the job.
  • Either side may report safety issues, no-shows, or misconduct through the in-app report flow.

7. Payments, escrow, and wallet

Payments on BidBoard are processed by our licensed payments partner. By using the Service you also agree to their payment terms.

  • Escrow. When a caller confirms a bid, the full posted fare is captured and held in escrow by the payments partner. Drivers should not begin a job unless the in-app status shows the fare as held.
  • Release. The fare is released to the driver's BidBoard wallet when the caller confirms the job is complete, or automatically 24 hours after the driver marks the job complete if the caller does not confirm or dispute within that window.
  • Wallet. Wallet balances are held by the payments partner on your behalf. You may withdraw to a verified bank account or PayNow handle in your name. We may set reasonable minimum-withdrawal thresholds and processing times.
  • Reversals. Where a payment is reversed by a card issuer, bank, or regulator (for example by chargeback), we may debit the wallet of the party who received that payment and pass the reversal through.

8. Cancellations and disputes

  • Before a bid is confirmed: Callers may delete an unconfirmed job at any time. Drivers may withdraw an unaccepted bid at any time.
  • After confirmation: Cancellation may attract a fee, which we will disclose in-app before you confirm cancellation. Fees compensate the non-cancelling party for time committed and may scale with how close to the pick-up time the cancellation occurs.
  • Driver no-show: The fare is refunded in full to the caller and the driver may receive a strike on their account.
  • Caller no-show: The driver is paid a wait-and-cancel portion of the fare; the balance returns to the caller.
  • Disputes: Either party may raise a dispute in-app within 48 hours of the scheduled completion time. We will review the available evidence (in-app messages, GPS records, status timestamps, ratings, and submitted media) and decide, in good faith, how to release the held funds. Our decision is final as between the parties on the platform but does not limit your separate legal rights.

9. Fees and taxes

  • At launch, BidBoard charges drivers no listing fees, no commission, and no cut of the fare. We reserve the right to introduce fees in future, with at least 30 days' notice through the app or by email.
  • You are solely responsible for declaring and paying any income tax, GST, or other taxes that apply to your earnings or expenses on the platform. We do not act as your tax agent.

10. Conduct and prohibited use

You agree not to:

  • Use the Service for any unlawful purpose or to facilitate any unlawful activity
  • Misrepresent your identity, licence, vehicle, or any other material fact
  • Harass, threaten, discriminate against, or endanger any other user
  • Carry or permit any prohibited goods (including weapons, explosives, or controlled substances) on a job
  • Smoke or consume alcohol or illegal substances while performing a job
  • Manipulate ratings, post fake reviews, or reward users for favourable feedback
  • Attempt to scrape, reverse-engineer, decompile, or interfere with the Service or its security
  • Use the Service to source jobs and then take them off-platform to avoid escrow, taxes, ratings, or these Terms

Breach of this section may result in immediate suspension or termination and may be reported to the relevant authorities.

11. Ratings, reviews, and reputation

Drivers and callers rate each other after every completed job. Ratings and reviews are aggregated and shown on your profile. You grant us a perpetual, worldwide, royalty-free licence to host and display ratings and reviews you submit. We may remove ratings or reviews that breach these Terms, but we are not obliged to monitor or moderate all content.

12. Intellectual property

The Service, the BidBoard name and logo, and all related software, designs, and content (excluding user-submitted content) are owned by Shortcut Ventures Pte. Ltd. or our licensors. We grant you a personal, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose. No other rights are granted.

You retain ownership of content you submit. You grant us a non-exclusive, royalty-free licence to use, host, and display that content as needed to operate the Service.

13. Disclaimer of warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties — express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

We do not warrant the conduct, licence status, vehicle condition, punctuality, or driving standard of any other user. Any trip you take, post, or perform is at your own risk.

14. Limitation of liability

To the maximum extent permitted by Singapore law:

  • We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost income, lost opportunity, or loss of goodwill — arising out of or in connection with the Service.
  • Our total aggregate liability to you for any claim arising out of or in connection with the Service is limited to the greater of (i) the total fees BidBoard has charged you in the 12 months preceding the event giving rise to the claim, or (ii) S$100.
  • Nothing in these Terms limits liability that cannot be excluded by law (for example, liability for death or personal injury caused by our negligence, or fraud).

15. Indemnity

You agree to indemnify and hold harmless Shortcut Ventures Pte. Ltd. and its officers, employees, and agents from any claims, losses, damages, liabilities, and reasonable legal costs arising out of: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any job you post, bid on, or perform on the platform.

16. Suspension and termination

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have breached these Terms, that the safety of other users is at risk, or that we are required to do so by law. Funds legitimately due to you in your wallet at the time of termination remain payable to you, subject to any holds or set-offs we are legally entitled to apply (for example, where a payment reversal is pending).

You may close your account at any time by writing to admin@bidboard.sg. Sections that by their nature should survive termination (including Sections 12–18) will survive.

17. Changes to these terms

We may update these Terms from time to time. If a change is material, we will notify you through the app or by email at least 14 days before it takes effect, except where a shorter notice period is required by law or by an urgent security or compliance need. Continued use of the Service after the effective date means you accept the updated Terms.

18. Governing law and general terms

  • Governing law: These Terms are governed by the laws of the Republic of Singapore.
  • Jurisdiction: The Singapore courts have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service, except that we may bring proceedings to protect our intellectual property in any competent court.
  • No partnership: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and BidBoard.
  • Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign or novate these Terms to an affiliate or in connection with a corporate restructuring.
  • Severability: If any provision of these Terms is held invalid or unenforceable, the rest will remain in full effect.
  • Entire agreement: These Terms, together with our Privacy Policy and any in-app payments terms, are the entire agreement between you and us regarding the Service.
